BACKGROUND INFORMATION:
The New Braunfels Downtown Board (DTB) met on April 18, 2023 to initially discuss potential changes to the DTB Bylaws with specific focus on board member appointments, qualifications, attendance, meeting frequency, and committees. The DTB Bylaws were last updated in 2019. The DTB met again in May and June to continue the Bylaw change discussion. At the DTB’s August 15, 2023 regular meeting, Bylaw changes were approved which include: updating member qualifications, clarifying the process in which open board positions are replaced mid-term, addressing meeting attendance requirements/expectations, and adjusting the overall meeting frequency.

RECOMMENDATION:
Council accepts the recommendation, approving changes to the New Braunfels Downtown Board Bylaws.
